Udyam Registration, start to finish: free, paperless, and the first thing the bank asks for
Search for "Udyam registration" and half the results will offer to do it for you for ₹1,500 or more. The real thing costs nothing, needs no documents uploaded, and takes a few minutes with an Aadhaar-linked phone. It is also, quietly, the most important piece of paper in a small business loan file — because it is how the bank proves to itself, and to the regulator, that you are a micro or small enterprise at all. This is the whole process, and why it matters on the lending side of the desk.
- Udyam Registration is free, online and permanent. There is no fee on the government portal, no renewal, and nothing to upload. Sites that charge you are private agents, not the government.
- You need Aadhaar, PAN, and GSTIN if your business is required to have one. Investment and turnover are pulled from your tax records.
- The certificate decides your category — micro, small or medium — on investment and turnover together. Exports do not count towards turnover.
- Banks need it before most MSME benefits apply: priority-sector lending, the ₹20 lakh no-collateral rule, and CGTMSE cover all rest on it.
What Udyam Registration is
Udyam Registration is the government's single identity for a micro, small or medium enterprise. It replaced the older Udyog Aadhaar and EM-II registrations on 1 July 2020, and those older numbers are no longer valid for MSME benefits. If your business still quotes an Udyog Aadhaar number, it needs to register afresh on Udyam.
You get a Udyam Registration Number and an e-certificate. The number is permanent. One enterprise has one registration — you cannot file a second one for the same business — but any number of activities, manufacturing or service or both, can sit under it.
Why the bank asks for it first
From the borrower's side, Udyam looks like a formality. From the bank's side it is the document that makes several rules apply.
- Priority-sector lending. Banks must lend a share of their book to MSMEs. A loan counts only if the borrower's MSME status is on record, and the Udyam certificate is that record.
- The no-collateral rule. RBI bars banks from taking collateral on loans up to ₹20 lakh to micro and small enterprises. The certificate is how both sides know you are one.
- CGTMSE cover. Since January 2023, no credit guarantee is approved without Udyam Registration. Part 4 of this series explains why that guarantee matters.
So a branch will often ask for Udyam before it asks for anything else. Having it ready is the cheapest way to look like a business that knows what it is doing.
Micro, small or medium — how the category is decided
Your category is worked out on two numbers together: investment in plant, machinery or equipment, and annual turnover. The limits below have applied since 1 April 2025, the same for manufacturing and services.
| Category | Investment up to | Turnover up to |
|---|---|---|
| Micro | ₹2.5 crore | ₹10 crore |
| Small | ₹25 crore | ₹100 crore |
| Medium | ₹125 crore | ₹500 crore |
Two details change the answer more than people expect. Both limits have to hold. Cross the ceiling on either one and you move up to the next category; you move back down only when you are below your category's floor on both. And exports are left out of turnover, so a business that sells abroad can stay micro or small on a much larger total. Investment counts plant, machinery and equipment only — not land or buildings.
What you need before you start
Nothing is uploaded. The portal checks what you enter against government databases, so the only real preparation is having the right numbers in front of you and spelling everything the way your PAN spells it.
- Aadhaar number, with the mobile number linked to it for the OTPAlways
- PAN — the proprietor's own PAN for a proprietorship, the entity's PAN for anything elseAlways
- GSTINOnly if your business is required to register under GST
- Bank account number and IFSC of the business accountAlways
- Business and plant addresses, date the business started, number of employeesAlways
- The activity you carry on, chosen from the national industry codes on the portalAlways
Whose Aadhaar is used depends on the kind of business: the proprietor's for a proprietorship, the managing partner's for a partnership, the karta's for a Hindu undivided family, and an authorised signatory's for a company, LLP, co-operative society, society or trust. Investment and turnover are taken from your income-tax and GST records. A business too new to have filed a return declares them itself, and the figures are reconciled once returns exist.
The procedure, step by step
- Open the government portal — and only that
The address is udyamregistration.gov.in. Check that it ends in .gov.in before you type anything. Lookalike sites use the same words in their names.
- Pick the right door
A business registering for the first time chooses the option for new entrepreneurs. A business moving over from Udyog Aadhaar has its own option on the same page.
- Verify Aadhaar with the OTP
The name must be exactly as it is on Aadhaar. A mismatch here is the most common reason the next step fails.
- Validate PAN
The portal checks the PAN against income-tax records and fetches what it can about your returns.
- Fill in the enterprise details
Name, type of organisation, addresses, bank account, activity code, employees, and investment and turnover where they are not fetched automatically. Choose the activity code carefully — it is how the certificate describes what you do.
- Declare and submit
A final OTP confirms the self-declaration. The registration number is generated, and the certificate follows by email and can be downloaded from the same portal at any time.
No PAN or no GST? There is a separate route
Many genuinely small businesses — a street vendor, a home tailor, a small repair shop — have no PAN in the business name and no GST registration, because they do not need one. For them the government set up the Udyam Assist Platform in January 2023, run by SIDBI. Registration there happens through designated agencies such as banks, NBFCs and microfinance institutions, and the Udyam Assist Certificate it issues is treated as equal to a Udyam certificate for priority-sector lending. When the business later gets a PAN and GST, it can move to the main portal.
Traders can register — with one limit
Retail and wholesale traders can take Udyam Registration. But the government's order that let them in restricts the benefit to priority-sector lending. That is useful when you borrow. It does not give a trader the wider set of MSME protections — the delayed-payment rules below, for instance — that manufacturers and service businesses get.
What it gets you, beyond the loan
- Protection against slow payers. A buyer must pay a micro or small supplier within the agreed period, and never later than 45 days. Late payments carry compound interest at three times the RBI bank rate, and a supplier can take a claim to the Micro and Small Enterprise Facilitation Council through the government's MSME Samadhaan portal.
- A tax reason for buyers to pay on time. Under the income-tax law, a business buyer cannot deduct what it owes a micro or small supplier until it actually pays, once the permitted period has passed. That makes your registration a reason for customers to clear your bills before the year closes.
- An edge in government tenders. Public procurement rules reserve a share of purchases for micro and small enterprises and relax requirements like tender fees and earnest money for them.
Keeping it right after you register
There is no renewal. Your investment and turnover are updated from your returns, so the category can change on its own as the business grows. If it moves you up, the rules let you keep the non-tax benefits of your old category for three years from the change — growth is not punished overnight. If it moves you down, the new category applies from the 1st of April after the year in which the change happened.
What you do have to maintain yourself are the details the returns do not carry: the address, the bank account, the activities. A certificate that still shows an old address or an activity you no longer run is the kind of small mismatch a credit officer notices.
The fee trap
Private websites charging for Udyam Registration are not illegal as such. They are agents, and some do fill the form correctly. But they charge for something that is free, they collect your Aadhaar OTP to do it, and the certificate you get is exactly the one you could have downloaded yourself. Some look official enough that people believe they have paid a government fee. There is no government fee.
Four things people believe
"There is a registration fee." Not on the government portal. Anything you paid went to a private agent.
"I have to renew it every year." The number is permanent. Only your details need to stay accurate.
"My Udyog Aadhaar is still valid." It is not, for MSME benefits. Register on Udyam.
"Udyam means the bank has to give me a loan." It makes you eligible to be treated as an MSME. The loan still depends on your credit report, your cash flow and whether the instalment fits.
The one-line summary
Udyam Registration is free, takes minutes, and is the document that turns "small business" into a status a bank can act on. Use only the .gov.in portal, spell everything as your PAN does, remember that exports do not count and both limits must hold, keep the details current — and get it done before you walk into the branch.
The tool for this
Put in your investment, turnover and exports and see whether you are micro, small or medium under the 2025 limits — which number decides it, and how much room you have before you move up.
